These Terms and Conditions ("Terms," "Agreement," or "ToS") constitute a legally binding agreement between you (the "Client," "User," or "You") and Developous Technologies ("Company," "we," "our," "us," or "Developous"), a software development, digital marketing, and consulting services provider.
Agreement Scope: These Terms govern your access to and use of our website located at https://www.developous.com (the "Website"), all software development services, digital marketing services, consulting services, and any other services we provide (collectively, the "Services").
Acceptance of Terms: By accessing the Website or engaging with our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue access to the Website and refrain from engaging with our Services.
Eligibility: You represent and warrant that you are at least 18 years of age and have the legal authority to enter into this Agreement. If you are entering this Agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
1. Service Description and Scope
Developous Technologies provides the following services:
- Software Development Services: Custom web applications, mobile applications, e-commerce solutions, API development, and software consulting
- Digital Marketing Services: SEO optimization, SEM, social media marketing, content marketing, email marketing, and digital strategy
- UI/UX Design Services: User interface design, user experience design, wireframing, and design consultation
- Consulting Services: Technology consulting, business process optimization, and digital transformation advisory
- Website Hosting and Support: Hosting services, maintenance, and technical support (if applicable)
Scope of Work: The specific scope of Services for your project will be detailed in a separate Statement of Work (SOW), project proposal, or service agreement. In case of conflict between these Terms and a SOW, the SOW shall take precedence for that specific project.
No Guarantee of Results: While we strive to deliver high-quality services, we do not guarantee specific business results, revenue increases, or rankings for digital marketing services. Results depend on many factors beyond our control.
2. Payment Terms and Fees
2.1 Fee Structure
Our fees may be structured as:
- Fixed project fees (for defined scope)
- Hourly rates (for time-based work)
- Monthly retainer fees (for ongoing services)
- Performance-based fees (for specific deliverables)
2.2 Payment Schedule and Method
Payment Terms: Invoices are due within 30 days of invoice date unless otherwise specified. Payment methods include bank transfer, credit card, PayPal, and other methods specified in the invoice. All amounts are exclusive of applicable taxes unless stated otherwise.
2.3 Late Payments
Payments not received within 30 days of the invoice date will be considered overdue. Late payments may incur a 1.5% monthly interest charge or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments.
2.4 Refund Policy
Non-Refundable Fees: All fees paid for services rendered are non-refundable except as required by law. Refund requests must be made within 14 days of invoice date. Services begun cannot be refunded. Partial refunds may be issued at our sole discretion for incomplete or defective work, calculated on a pro-rata basis.
2.5 Additional Costs
Additional costs such as third-party software licenses, hosting fees, domain registration, and other out-of-pocket expenses will be billed separately with supporting documentation. You approve reimbursable expenses in writing before incurrence.
3. Intellectual Property Rights
3.1 Work Product Ownership
Custom Work: Upon receipt of full payment, ownership of custom-developed work (source code, designs, content created specifically for your project) transfers to you, with the following exceptions:
- We retain the right to use the work as a portfolio reference (with your permission)
- We retain ownership of pre-existing code, tools, templates, and frameworks we use
- We retain ownership of methodologies and general knowledge
- We may retain rights to modifications we make for general reuse
3.2 Third-Party Components
Work delivered may contain third-party open-source libraries, frameworks, and components. These retain their original licenses. We will provide documentation of all third-party licenses included. You are responsible for compliance with third-party license terms.
3.3 Pre-Existing IP
Company IP: Developous retains ownership of all pre-existing intellectual property, tools, templates, methodologies, and processes. You receive a limited license to use these solely as part of the Services provided.
3.4 Client IP and Permissions
You warrant that any content, logos, designs, or materials you provide do not infringe third-party intellectual property rights. You grant us a license to use your content solely for delivering the Services.
4. Client Responsibilities and Obligations
You agree to:
- Timely Information: Provide accurate, complete, and timely information required for service delivery
- Decision-Making: Designate a primary contact and make decisions promptly to avoid project delays
- Testing and Feedback: Test deliverables and provide detailed feedback within agreed timeframes
- Approval Authority: Ensure the person approving deliverables has authority to do so
- Payment Obligation: Pay all invoices according to payment terms
- Content Ownership: Warrant that all content provided is owned by you or properly licensed
- Legal Compliance: Ensure your use of Services complies with applicable laws
- Confidential Access: Protect any login credentials, API keys, or confidential information we provide
5. Our Responsibilities and Service Standards
Developous Technologies commits to:
- Professional Services: Deliver services in a professional and workmanlike manner consistent with industry standards
- Timeline Adherence: Make reasonable efforts to meet agreed project timelines (delays may occur due to unforeseen circumstances)
- Communication: Maintain regular communication regarding project status and any issues
- Confidentiality: Maintain confidentiality of your sensitive information (subject to privacy policy)
- Security: Implement reasonable security measures to protect your data
- Support: Provide technical support as specified in the service agreement or SOW
No Warranty: Services are provided "as-is." We do not warrant that services will be uninterrupted, error-free, or meet all your requirements. We disclaim all other warranties, express or implied.
6. Limitation of Liability
Liability Cap: To the maximum extent permitted by law, Developous Technologies's total liability for any claims arising from this Agreement shall not exceed the total fees paid by you in the 12 months preceding the claim. This applies to all types of claims including breach of contract, tort, or negligence.
Excluded Damages: Developous Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.
Exceptions: These limitations do not apply to (a) indemnification obligations, (b) confidentiality breaches, (c) IP infringement, or (d) liability that cannot be excluded under applicable law.
7. Indemnification
7.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless Developous Technologies from any claims, damages, losses, and expenses (including attorney fees) arising from (a) your use of Services, (b) content you provide, (c) your violation of these Terms, (d) your infringement of intellectual property rights, or (e) your violation of applicable law.
7.2 Company Indemnification
Developous Technologies will indemnify you from claims that the Services, as delivered, infringe third-party intellectual property rights, provided you promptly notify us and allow us to control the defense.
8. Confidentiality
Both parties agree to maintain confidentiality of:
- Technical specifications and project details
- Business information and trade secrets
- Client contact information and project scope
- Any information marked as confidential
Exceptions: Confidentiality obligations do not apply to information that is (a) publicly available, (b) independently developed, (c) required to be disclosed by law, or (d) necessary to enforce these Terms.
Portfolio Use: With your permission, we may reference your company name and project type in our portfolio and marketing materials.
9. Termination and Cancellation
9.1 Termination for Cause
Either party may terminate this Agreement immediately if the other party (a) materially breaches these Terms and fails to cure within 15 days of written notice, or (b) becomes insolvent or bankrupt.
9.2 Termination for Convenience
You may terminate ongoing services with 30 days written notice. You remain responsible for all fees through the termination date. For fixed-price projects, termination may incur penalties for work completed.
9.3 Effect of Termination
Upon termination, we will deliver completed work and documentation. Incomplete work is non-refundable. Ongoing services (hosting, support) will cease. Confidentiality obligations survive termination.
10. Warranties and Disclaimers
Disclaimer of Warranties: Services are provided "as-is" and "as available." We disclaim all warranties, express, implied, or statutory, including:
- Merchantability and fitness for particular purpose
- Non-infringement of third-party rights
- Uninterrupted or error-free operation
- Specific business results or outcomes
- Security or freedom from viruses
Third-Party Services: We are not responsible for third-party services, platforms, or content we integrate or reference (Google Analytics, payment processors, hosting providers, etc.). Failure of third-party services is not our liability.
11. Acceptable Use Policy
You agree not to:
- Violate any applicable laws or regulations
- Infringe intellectual property rights
- Engage in harassment, abuse, or illegal activity
- Transmit malware, viruses, or harmful code
- Attempt unauthorized access to our systems
- Reverse engineer or decompile our software
- Use Services for competing business
- Resell Services without permission
- Remove copyright notices or attribution
12. General Provisions
12.1 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law provisions. Any disputes shall be subject to the jurisdiction of courts in India.
12.2 Entire Agreement
These Terms, together with any Statement of Work or service agreement, constitute the entire agreement regarding the Services. Previous agreements are superseded.
12.3 Amendment
We may update these Terms with 30 days written notice. Continued use after updates signifies acceptance. For active projects, major changes will not apply retroactively.
12.4 Severability
If any provision is found invalid, remaining provisions remain in effect.
12.5 Waiver
Failure to enforce any right is not a waiver of that right.
12.6 Assignment
You cannot assign these Terms without our consent. We may assign to affiliates or successors.
